The Seller and any person accepting the terms of this public offer – the Buyer, hereinafter collectively referred to as the Parties, enter into this Public Offer Agreement (“Agreement”), offered to an unlimited circle of persons as an official offer by the Seller to enter into a purchase–sale agreement for the Goods displayed on https://www.rybalchenko.com.ua/.

1. General Provisions

1.1. The contractual relationship between Seller and Buyer is governed by this Agreement. By clicking “Confirm Order” on the website, the Buyer (natural or legal person, sole proprietor) accepts the terms, in accordance with applicable Ukrainian and international law.
1.2. This is a public agreement; per Articles 633 and 641 of the Ukrainian Civil Code, the terms are identical for all Buyers. Acceptance means agreement with terms of ordering, payment, delivery, and liability.
1.3. The Agreement enters into force upon clicking “Confirm Order” and remains valid until the Buyer receives and fully pays for the Goods.
1.4. The Parties agree to apply Ukrainian law in case of disputes.

2. Definitions

  • Public Offer Agreement – the publicly available offer on the website.

  • Acceptance – the act of placing a Goods in the online cart and confirming the order.

  • Goods – any item available on the website.

  • Buyer – any legal or natural person willing to purchase.

  • Seller – any legal or natural person offering Goods via the website.

  • Order – a request to purchase the Goods.

  • Law – applicable Ukrainian and international legislation.

  • Material Defect – a defect preventing normal use of the Goods.

3. Subject of the Agreement

3.1. The Seller agrees to sell, and the Buyer to purchase, the Goods ordered.
3.2. The Seller guarantees that the Goods are not pledged, under dispute, or encumbered in any way.
3.3. The Parties confirm the transaction is legitimate and conducted without coercion.
3.4. The Seller confirms possession of all legal rights and permits to sell the Goods under Ukrainian law.

4. Seller’s Rights and Obligations

4.1. The Seller shall:

  • comply with Agreement terms;

  • execute the Order after payment receipt;

  • transfer the Goods as per description and order;

  • verify Goods quality and quantity during packing;

  • inform Buyer of any international card payment fees.
    4.2. The Seller may suspend services if the Buyer breaches the Agreement.

5. Buyer’s Rights and Obligations

5.1. The Buyer shall:

  • pay for and accept the Order on time;

  • review Goods information;

  • inspect Goods upon delivery and document defects with the courier if any.
    5.2. The Buyer is entitled to:

  • place Orders via the website;

  • demand fulfillment of Agreement terms;

  • be informed of potential international payment surcharges.

6. Ordering Procedure

6.1. Orders are placed by adding Goods to the cart or via email/phone.
6.2. Orders are processed within two business days (if placed on weekend/holiday, processing starts on next working day).

7. Price and Payment

7.1. Prices per Good are stated on the website; total price includes delivery cost.
7.2. Prices may change based on quantity or cost fluctuations.
7.3. Accepted payment methods: cash on delivery, bank cards (Visa, MasterCard, etc.) or other as agreed.
Note: Card issuer fees may apply; Buyer confirms awareness by pressing “Place Order”.

8. Delivery Conditions

8.1. Goods are delivered by courier or picked up in person.
8.2. Buyer agrees to terms of the delivery company.
8.3. Delivery receipt and absence of issues are confirmed by signature; Seller guarantees correct quantity and condition.
8.4. If Buyer is unavailable or refuses delivery without reason, the Goods return to warehouse; delivery cost is deducted, remaining funds refunded upon request.

9. Returns

9.1. Buyer may return Goods within 14 calendar days (excluding purchase day) under Ukrainian consumer law.
9.2. Returns follow the procedure on the “Returns” page of the Site and carrier policies.
9.3. Faults must be documented in a signed act with courier/Seller and reported within 1 day.
9.4. If procedures are not followed, Goods are deemed accepted.

10. Liability and Dispute Resolution

10.1. Parties are liable as per Ukrainian and international law.
10.2. Disputes (excluding financial claims) must be resolved amicably within 7 calendar days. For payment obligations, prior negotiation is not required.
10.3. All disputes to be resolved in competent courts under applicable legislation.

11. Force Majeure

11.1. Neither Party is liable for non-performance due to force majeure (natural disasters, war, strikes, etc.).
11.2. The affected Party must notify the other in writing within 30 days with official documentation.
11.3. The terms are extended by the duration of force majeure.
11.4. If force majeure continues beyond three months, either Party may unilaterally terminate the Agreement with notice, settling final dues before termination.

12. Final Provisions

12.1. Buyer data is confidential and used solely for Order fulfillment (notifications, promotions).
12.2. By accepting, Buyer consents to data processing for marketing and transactional purposes.
12.3. Seller may store data indefinitely and guarantees its security.
12.4. Buyer may opt out of promotional messages with a written request.
12.5. Buyer is responsible for the accuracy of the provided data.
